Aspen Purchaser Sub

Aspen Purchaser Inc. was a special-purpose acquisition vehicle and a wholly-owned subsidiary of AstraZeneca, established specifically to facilitate the acquisition of CinCor Pharma, Inc. in early 2023. The entity's primary role was to conduct a tender offer for all outstanding shares of CinCor, a clinical-stage biopharmaceutical company focused on developing next-generation treatments for cardio-renal diseases. The acquisition centered on CinCor's lead asset, baxdrostat, a highly selective small molecule inhibitor of aldosterone synthase being evaluated for resistant hypertension and chronic kidney disease. Following the successful completion of the $1.3 billion transaction in February 2023, Aspen Purchaser Inc. was merged with and into CinCor Pharma, which then became a subsidiary of AstraZeneca. This strategic acquisition was designed to bolster AstraZeneca's cardiorenal pipeline and expand its portfolio of cardiovascular therapies.
