Overview

Garden SpinCo was the temporary corporate vehicle created by 3M to hold its Food Safety business in connection with a Reverse Morris Trust transaction with Neogen. The business focused on commercial food safety testing and diagnostics products rather than therapeutics, including tools used for pathogen detection and broader food quality and safety workflows. On September 1, 2022, 3M completed the separation and Garden SpinCo merged with a subsidiary of Neogen, after which SpinCo became a wholly owned subsidiary of Neogen. As a result, Garden SpinCo did not continue as an independent operating biotech or pharma company.
