NCARE Acquisition Corp. was a Delaware-based acquisition vehicle and wholly owned subsidiary of National Senior Care, Inc. (NSC). It was primarily established to facilitate the merger with Mariner Health Care, Inc., which at the time was a major provider of skilled nursing and long-term acute care services in the United States. The merger, completed in December 2004, resulted in Mariner Health Care becoming a private subsidiary of National Senior Care in a transaction valued at approximately $1.05 billion. NCARE Acquisition Corp. is historically significant for its role in the consolidation of the post-acute healthcare facility market during the mid-2000s.
