Company intelligence / Profile preview
Ravens Sub, Inc. is a wholly owned subsidiary of Gilead Sciences, Inc., established as the acquisition vehicle for the $7.8 billion merger with Arcellx, Inc. announced in February 2026. Through this entity, Gilead is acquiring full ownership of Arcellx's lead candidate, anitocabtagene autoleucel (anito-cel), a BCMA-directed CAR-T cell therapy for relapsed or refractory multiple myeloma. The acquisition consolidates Arcellx's proprietary D-Domain platform and its clinical pipeline into Gilead's cell therapy portfolio, specifically within its Kite division. As of April 2026, Ravens Sub is conducting a tender offer for all outstanding shares of Arcellx common stock, which includes a cash payment and a contingent value right tied to future sales milestones.
