Shuttle Merger Sub was a specialized subsidiary of Bristol Myers Squibb created to facilitate the acquisition of RayzeBio, a clinical-stage radiopharmaceutical company. The entity was incorporated in late 2023 and served as the vehicle for a tender offer valued at approximately $4.1 billion. Following the successful completion of the acquisition in February 2024, Shuttle Merger Sub merged with and into RayzeBio, which then became a wholly owned subsidiary of Bristol Myers Squibb. This transaction significantly expanded Bristol Myers Squibb's oncology pipeline, particularly in the field of actinium-based radiopharmaceuticals. The primary asset acquired through this vehicle was RYZ101, a Phase 3 therapeutic targeting somatostatin receptor 2 for neuroendocrine tumors. Shuttle Merger Sub is no longer an active independent entity following the close of the merger.
